Terms and Conditions

Permitted use of the Online Advertising facility

You have received information which is derived from databases (or parts or extracts thereof) of which The Parrot Society is the owner or creator, or otherwise authorised to use (the “Data”). The Parrot Society owns, or is licensed, all Intellectual Property Rights which subsist in and/or relate to that Data from time to time.  You must not at any time copy, reproduce, publish, sell, let, lend, extract, reutilise or otherwise part with possession or control of or relay or disseminate any part of this information or use it for any purpose other than your own personal use.

Any use by you of the Online Advertising facility for commercial benefit, or otherwise not in accordance with these terms and conditions shall be taken seriously by The Parrot Society and we shall take such action as is necessary to protect the Online Advertising facility from any such activities to protect our intellectual property rights. The Parrot Society shall take such action as is necessary to protect its intellectual property rights and you acknowledge that damages alone may not be an adequate, just, fair or appropriate remedy for any infringement of such rights by you.

Ownership of data and materials

The Parrot Society is the creator and owner of or is otherwise authorised to use and exploit the databases that you will be accessing when using the Online Advertising facility. All copyright, database rights, trademarks and other intellectual property rights in the data and materials in the Online Advertising facility are owned by or licensed to The Parrot Society.  Your permitted use of the Online Advertising facility does not operate as an assignment by The Parrot Society of any of these intellectual property rights. The Parrot Society shall take such action as is necessary to protect its intellectual property rights and you acknowledge that damages alone may not be an adequate, just, fair or appropriate remedy for any infringement of such rights by you.

Exclusions and limitations

The data provided to you pursuant to this Online Advertising facility is on an "as is" basis.
To the fullest extent permitted by law The Parrot Society:
- (a) excludes all representations and warranties relating to its provision of this Online Advertising facility, including in relation to any inaccuracies or omissions in the data; and
- (b) excludes all liability for loss or damage arising out of or in connection with your use of the Online Advertising facility and your use of any data provided to you under the Online Advertising facility. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was direct or indirect, foreseeable, arose in the normal course of things or you have advised The Parrot Society of the possibility of such potential loss) and indirect, consequential and incidental damages.
The Parrot Society does not however exclude or limit liability for death or personal injury caused by its negligence or for any other liability which cannot be limited or excluded by law.
None of your statutory rights as a consumer that cannot be excluded or limited are affected.

General

These terms and conditions are governed by the laws of England and Wales. All disputes arising out of your use of the Online Advertising facility are subject to the exclusive jurisdiction of the English courts. If any of these terms or conditions is deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above) then the invalid or unenforceable provision will be severed from these terms and conditions and the remaining provisions will continue to apply.  If The Parrot Society fails to take or delays in taking any action against you which it would otherwise be entitled to take if you breach any of these terms and conditions then it will remain entitled to take such action against you in respect of such breach or any subsequent breach.
